Newton Biocapital II, pricaf privée de droit belge, S.A. – Sustainability-related disclosure

Newton Biocapital II Partners SRL (Fund manager of Newton Biocapital II, pricaf privée de droit belge, S.A – “NBC II”) advertises NBC II as Sustainability risk compliant as it promotes environmental and social characteristics but does not have as its objective a sustainable investment, in accordance with Article 8 of the SFDR (Regulation (EU) 2019/2088 of the European Parliament and of the Council of 27 November 2019 on sustainability-related disclosures in the financial services sector).

The portfolio companies are and will be selected based on their Sustainability risk characteristics. The quality of selected ESG indicators determines the investment decision in the company (average score, minimum quality required, targets, etc.), ensuring compliance with these Sustainability risk characteristics .

Those characteristics, as well as the methodologies for assessing and monitoring portfolio companies are outlined in greater detail in the Investment Manager’s Sustainability Risk Policy, as well as in the pre-contractual information shared with our (potential) shareholders.

The Fund does not have sustainable investments as an objective and does not commit to making such investments in accordance with the Fund's categorisation pursuant to Article 8 of Regulation (EU) 2019/2088. Through its investment strategy, the Fund focuses on investments in companies with a social objective and the Manager will conduct a thorough ESG screening for each company.

Le Fonds n'a pas pour objectif de réaliser des investissements durables et ne s'engage pas à réaliser de tels investissements conformément à la classification du Fonds au titre de l'article 8 du règlement (UE) 2019/2088. Dans le cadre de sa stratégie d'investissement, le Fonds se concentre sur les investissements dans des sociétés ayant un objectif social et le Manager procédera à un examen ESG approfondi de chaque société.

All companies in which the Fund has invested have undergone a sustainability assessment. The Manager's investment team has contacted the management of each company in which investments are made to assess progress against the sustainability indicators and will continue to do so throughout the period in which the investment is held..

Toutes les sociétés dans lesquelles le Fonds a investi ont fait l'objet d'une évaluation de durabilité. L'équipe d'investissement du Manager a contacté la direction de chaque société dans laquelle des investissements ont été réalisés afin d'évaluer les progrès accomplis par rapport aux indicateurs de durabilité et continuera de le faire tout au long de la période pendant laquelle l'investissement est détenu.

Compared to the situation at the time of the initial investment, the fund's portfolio companies are showing progress in terms of environmental awareness. The importance of a good IP strategy is striking. Good progress has been made in the area of HR issues. Best governance practices at board level are in the implementation phase.

Par rapport à la situation au moment de l'investissement initial, les sociétés du portefeuille du fonds affichent des progrès en matière de sensibilisation à l'environnement. L'importance d'une bonne stratégie en matière de propriété intellectuelle est frappante. Des progrès notables ont été réalisés dans le domaine des ressources humaines. Les meilleures pratiques de gouvernance au niveau du conseil d'administration sont en cours de mise en œuvre.

Compared with last year’s report, no significant progress has been made in relation to the Fund’s key indicators, which focus on bringing new healthcare solutions closer to the market and supporting local healthcare ecosystems by providing access to external capital. In terms of environmental awareness, too, the portfolio companies made little progress in 2025. Social awareness has increased mainly thanks to a more systematic implementation of sound HR policies. The most progress has been made in the area of governance, as the composition of the boards of directors has become more balanced, thereby reducing the risk of conflicts of interest. All portfolio companies have cooperated with the Fund’s ESG reporting requests, but engagement within the companies’ organisations still needs to be improved.

Par rapport au rapport de l’année dernière, aucun progrès significatif n’a été enregistré concernant les indicateurs clés du Fonds, qui visent à faciliter la mise sur le marché de nouvelles solutions de santé et à soutenir les écosystèmes de santé locaux en leur donnant accès à des capitaux externes. En matière de sensibilisation à l’environnement également, les sociétés du portefeuille ont peu progressé en 2025. La sensibilisation sociale s’est renforcée, principalement grâce à une mise en œuvre plus systématique de politiques RH rigoureuses. C’est dans le domaine de la gouvernance que les progrès ont été les plus marqués, la composition des conseils d’administration étant devenue plus équilibrée, ce qui a permis de réduire le risque de conflits d’intérêts. Toutes les sociétés du portefeuille ont répondu aux demandes du Fonds en matière de reporting ESG, mais l’engagement au sein de leurs organisations doit encore être amélioré.

No consideration of adverse impacts of investment decisions on sustainability factors

Newton Biocapital II Partners SRL does not currently consider the adverse impacts of its investment decisions on sustainability factors (Principal Adverse Impacts on Sustainability – “PAIS”) in accordance with Article 4 of the SFDR (Regulation (EU) 2019/2088 of the European Parliament and of the Council of 27 November 2019 on sustainability-related disclosures in the financial services sector) but adopted a phased approach to be ready to report on adverse impacts and is determined to set out governance on these aspects in its procedures, as well as in the roles and responsibilities of the various teams in the upcoming years.

At this stage, Newton Biocapital II Partners SRL is not able to monitor the indicators based on relevant source of data with regard to adverse sustainability impacts. It will review its policy on the integration of PAIS when it will be in a position to provide such monitoring.
